These Terms and Conditions (“Agreement”) govern the use of services provided by Nest Theory (“Company,” “we,” “us,” or “our”) to clients (“Client,” “you,” or “your”) engaging in interior design consultations, planning, execution, and related services. By accessing our website or entering into a service agreement, you acknowledge and accept the terms outlined below.
1. Definitions
- Nest Theory: A registered One Person Company (OPC) under the Companies Act, 2013, providing interior design services.
- Client: Any individual, business, or organization engaging Nest Theory for design services.
- Project: The specific scope of work agreed upon between Nest Theory and the Client.
- Agreement: The signed contract or acceptance of service terms between both parties.
2. Scope of Services
Nest Theory offers:
- Interior design consultations
- Space planning and layout optimization
- Material and furnishing selection
- Moodboards, 3D visualizations, and concept development
- Vendor coordination and project supervision
Exclusions: Structural modifications, electrical/plumbing work, and civil construction are not included unless explicitly stated.
3. Engagement and Acceptance
- Engagement begins upon written acceptance of a proposal or payment of the booking fee.
- All services are subject to availability and project feasibility.
- Nest Theory reserves the right to decline projects that conflict with our design ethics or operational capacity.
4. Fees and Payment Terms
- A non-refundable booking fee is required to initiate design work.
- Payment milestones will be defined in the project proposal (e.g., concept approval, procurement, installation).
- Late payments may incur interest charges or delay project delivery.
- All fees are exclusive of applicable taxes (GST, etc.).
5. Design Ownership and Intellectual Property
- All design concepts, drawings, and visual materials remain the intellectual property of Nest Theory until full payment is received.
- Upon full payment, the Client receives a non-exclusive license to use the designs for the intended project only.
- Unauthorized reproduction, resale, or distribution of design materials is prohibited.
6. Project Timeline and Delays
- Estimated timelines will be provided based on project scope and material availability.
- Delays due to third-party vendors, force majeure events, or Client inaction are not the responsibility of Nest Theory.
- Timeline adjustments will be communicated promptly.
7. Client Responsibilities
- Provide accurate site measurements, access, and approvals.
- Review and approve designs, materials, and budgets in a timely manner.
- Coordinate with third-party contractors if applicable.
- Ensure site readiness for installation and delivery.
8. Revisions and Modifications
- Up to two rounds of revisions are included in the design fee.
- Additional revisions or scope changes may incur extra charges.
- All changes must be documented and approved in writing.
9. Procurement and Vendor Coordination
- Nest Theory may assist in sourcing materials and furnishings.
- Full payment is required before procurement begins.
- We are not liable for vendor delays, price changes, or product defects beyond our control.
10. Cancellation and Refunds
- Cancellations must be submitted in writing.
- Fees for services rendered up to the cancellation date are non-refundable.
- Custom orders and procured items are non-returnable unless defective.
- Refunds for eligible items will be processed within 14 business days.
11. Liability and Indemnity
- Nest Theory is not liable for damages caused by third-party contractors or misuse of design elements.
- The Client agrees to indemnify Nest Theory against claims arising from unauthorized use or modification of designs.
- Our liability is limited to the amount paid for services rendered.
12. Confidentiality
- Both parties agree to maintain confidentiality of project details, personal data, and proprietary information.
- Nest Theory may showcase completed projects for portfolio or promotional purposes unless the Client opts out in writing.
13. Force Majeure
Nest Theory is not liable for delays or failure to perform due to events beyond our control, including but not limited to:
- Natural disasters
- Government regulations
- Pandemic-related restrictions
- Supplier disruptions
14. Governing Law and Jurisdiction
- This Agreement is governed by the laws of India.
- Disputes shall be subject to the exclusive jurisdiction of courts located in [Insert City, e.g., Kolkata].
15. Amendments
- Nest Theory reserves the right to update these Terms and Conditions.
- Continued engagement after updates constitutes acceptance of the revised terms.
